Under the Federal Trade Commission (FTC) Franchise Rule, a franchisor can update its Franchise Disclosure Document (FDD) as often as necessary, but there are specific requirements governing when updates are mandatory.
There are three primary situations when an FDD must be updated:
- Annual updates – At least once each fiscal year, within 120 days after the fiscal year ends.
- Quarterly updates: Within a reasonable time after the end of each fiscal quarter if a material change has occurred.
- Material changes requiring more immediate action: Certain changes, particularly those involving financial performance representations, or state-specific disclosure requirements, may require updates sooner.
The important distinction is that there is no federal limit on how frequently you can amend an FDD, but there are minimum updating requirements and rules governing when an updated FDD must be provided to prospective franchisees.
1. Annual FDD Update Requirements
For a franchisor operating on a calendar fiscal year ending December 31, the annual FDD update deadline is generally April 30 in a non-leap year.
| Requirement | Deadline |
|---|---|
| Fiscal year-end | December 31, 2026 |
| Annual FDD update | April 30, 2027 |
| Updated financial statements | Included with annual update |
| Item 20 franchise outlet statistics | Updated annually |
| Item 19 financial performance representations | Reviewed and updated as appropriate |
| State franchise registration renewals | Based on each state’s deadlines |
After the federal 120-day deadline, the franchisor generally cannot continue offering franchises using the outdated FDD. Certain state registration situations have special treatment under FTC enforcement guidance.
2. Quarterly FDD Update Requirements
The FTC requires franchisors to prepare quarterly revisions when material changes occur.
Examples of potentially material changes include:
- Significant changes to franchise fees or royalties.
- Material changes in the franchisor’s financial condition.
- Significant litigation or bankruptcy developments.
- Major changes to franchise operating requirements.
- Material changes in initial investment requirements.
- Significant changes in franchise ownership or management.
Quarterly revisions must be prepared within a reasonable time following the end of the applicable quarter. The FTC does not establish a universal 30-day deadline for these updates.
Importantly, a franchisor is not automatically required to prepare four complete new FDDs every year. Quarterly revisions may be provided through attachments or addenda.
3. Can You Update Your FDD Multiple Times During the Year?
Yes. You can voluntarily update your FDD at any time and as many times as needed.
For example, a franchisor could issue an FDD in January and subsequently amend it in March, June, and September.
Common reasons for voluntary amendments include introducing a multi-unit development program, adjusting the initial franchise fee, adding an Item 19 financial performance representation, revising the Franchise Agreement, or updating the initial investment range.
However, franchisors registered in franchise registration states may need to file amendments and obtain state approval before using the revised offering in those states.
4. What Happens When You Change Item 19?
Item 19 requires particular attention.
If the franchisor knows or should know that a material change has occurred in a financial performance representation, the FTC requires the franchisor to notify prospective franchisees when furnishing disclosure.
This notification obligation does not necessarily require issuing an entirely new FDD immediately. State laws may impose additional requirements.
5. Does Updating Your FDD Restart the 14-Day Disclosure Period?
Not necessarily.
Under the federal rule, an FDD amendment does not automatically restart the 14-calendar-day waiting period for every prospective franchisee who previously received a compliant disclosure.
However, state requirements may differ, and the federal rule has a separate seven-calendar-day advance review requirement when the franchisor unilaterally makes material changes to the agreement attached to the FDD.
6. Recommended FDD Update Schedule
For FMS Franchise clients, I would recommend the following approach:
| Timing | Recommended Action |
|---|---|
| January–April | Complete annual FDD update, financial statements, and registration renewals |
| End of Q1 | Review material changes |
| End of Q2 | Review material changes |
| End of Q3 | Review material changes |
| End of Q4 | Incorporate material changes into the annual update |
| Throughout the year | Monitor developments and amend earlier when required or commercially appropriate |
Bottom line: A franchisor must update its FDD annually within 120 days after fiscal year-end, must prepare quarterly revisions when material changes occur, and may voluntarily amend its FDD as frequently as it wishes.
For franchisors registered in states such as California, Illinois, Maryland, Minnesota, New York, Virginia, or Washington, I recommend reviewing state amendment requirements before implementing any significant changes to franchise fees, financial performance representations, or contractual terms.
The primary federal authority is 16 CFR § 436.7 — Instructions for Updating Disclosures.
